Terms of Service

1. About These Terms

These Terms of Service govern your access to and use of the DeepBlueLegal platform (“the Service”), operated by Deep Blue Legal Ltd (Company No. 17455155), registered in England & Wales (“we”, “us”, “our”). By creating an account or using the Service, you agree to these terms.

If you are accepting on behalf of a law firm or chambers, you represent that you have authority to bind that firm to these terms, and “you” refers to that firm.

2. The Service

DeepBlueLegal is a cloud-based legal practice management platform built for Caribbean law firms. It includes matter management, AI-powered legal research, trust accounting, billing, document drafting, and Gmail integration. The Service is provided on a subscription basis.

We reserve the right to modify, add, or remove features of the Service with reasonable notice. We will not materially reduce the core functionality of the platform without providing at least 30 days’ notice.

3. Subscriptions and Billing

Access to the Service requires a paid subscription. Subscriptions are priced on a per-seat basis and billed monthly or annually, as selected at sign-up. All payments are processed by Stripe.

• Billing cycle: Subscriptions renew automatically at the end of each billing period unless cancelled before renewal.
• Seat count: Your subscription covers a defined number of user seats. Adding users beyond your seat limit may require an upgrade.
• Failed payments: If a payment fails, we will retry and notify you. Access may be suspended after repeated failed payments, and reinstated immediately on successful payment.
• Refunds: Subscription fees are non-refundable except where required by applicable law. If you cancel mid-period, you retain access until the end of the period you have paid for.
• Annual plans: Annual subscribers may request a pro-rata refund for unused months within 14 days of renewal if they have not used the Service materially during that renewal period.

4. Acceptable Use

The Service is designed for use by qualified legal professionals and their authorised staff. By using the Service, you agree to:

• Use the Service only for lawful purposes and in accordance with applicable professional conduct rules.
• Not share login credentials with people outside your firm or allow concurrent sessions from multiple users on a single account.
• Not attempt to reverse-engineer, scrape, or extract data from the platform in bulk without our written consent.
• Not use the Service to store or process data in a manner that violates any applicable data protection law.
• Not use the AI research features to generate content intended to mislead a court or opposing party.

We may suspend or terminate access without notice if we reasonably believe a serious breach of these acceptable use requirements has occurred.

5. AI-Generated Content — Important Disclaimer

All AI-generated content must be independently reviewed and verified by a qualified lawyer before being relied upon, submitted to a court, provided to a client, or used as the basis for any legal action or advice. DeepBlueLegal is a tool to assist legal practitioners — it is not a substitute for professional legal judgement.

Jurisdictional coverage, case law currency, and statutory accuracy are maintained on a best-efforts basis. The corpus is updated regularly, but we make no warranty that the legal corpus is complete, current, or accurate for every jurisdiction or question.

You are solely responsible for ensuring that any work product delivered to clients or courts has been reviewed and approved by a competent legal professional.

6. Your Data

You own your data. All matter data, client records, documents, time entries, and research conducted within the platform belong to your firm. DeepBlueLegal claims no ownership of, and no licence to use, your firm’s data beyond what is necessary to operate the Service.

We process your data as a data processor acting on your instructions, in accordance with our Privacy Policy. We do not use your matter data, client information, or research queries to train AI models or for any purpose outside operating the Service.

On termination of your subscription, you may request an export of your data. We will make a full data export available in a standard format within 30 days of a valid request. After 30 days from the end of your subscription, we may delete your data in accordance with our retention policy.

7. Confidentiality

We understand that matter data, client information, and legal strategies stored in the platform are confidential — and likely subject to legal professional privilege. We treat all firm data as strictly confidential and will not disclose it to any third party except:

• To the sub-processors listed in our Privacy Policy, to the minimum extent necessary to operate the Service.
• Where required by law or a valid court order, in which case we will notify you as permitted by law before disclosing.

8. Limitation of Liability

To the fullest extent permitted by applicable law:

• The Service is provided “as is” without warranty of any kind. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate or complete.
• DeepBlueLegal’s total liability to you for any claim arising under or in connection with these terms shall not exceed the total fees paid by you in the 12 months preceding the claim.
• We are not liable for any indirect, consequential, incidental, or special loss, including loss of profit, loss of data, or loss arising from reliance on AI-generated content without independent legal review.

Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

9. Termination

Either party may terminate the subscription at any time.

• You: Cancel at any time through your subscription settings or by emailing hello@deepbluelegal.com. Access continues until the end of the current billing period.
• Us: We may terminate or suspend access immediately for serious breach of these terms, or with 30 days’ notice for any other reason. In the event of termination by us without cause, we will refund a pro-rata portion of any prepaid fees.

On termination, you may request a full export of your firm’s data within 30 days. After that period, we may permanently delete your data.

10. Changes to These Terms

We may update these terms from time to time. We will give you at least 30 days’ notice of any material change by email or by a notice within the platform. Continued use of the Service after a change takes effect constitutes acceptance of the updated terms. If you do not accept a material change, you may terminate your subscription before the change takes effect.

11. Governing Law and Disputes

These terms are governed by the laws of Barbados. Given the cross-jurisdictional nature of the Service, the laws of England & Wales apply as a secondary jurisdiction where Barbados law is silent or ambiguous on a relevant point.
