Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and DeepBlueLegal (“we”, “us”, “our”), a company registered in England and Wales, governing your access to and use of the DeepBlueLegal platform and related services (collectively, the “Service”).
By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Acceptance of Terms
These Terms apply to all users of the Service, including individuals accessing the Service on behalf of a law firm, chambers, or other legal organisation (“Firm”). If you are accepting these Terms on behalf of a Firm, you represent and warrant that you have authority to bind that Firm to these Terms.
Use of the Service is conditional on your acceptance of, and compliance with, these Terms and our Privacy Policy, which is incorporated into these Terms by reference.
2. Description of Service
DeepBlueLegal is a cloud-based legal practice management platform providing matter management, task and deadline tracking, time recording, trust accounting, document drafting tools, and AI-assisted legal research, designed for law firms and chambers practising in Caribbean and Commonwealth jurisdictions.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice where practicable. We will not be liable to you for any such modification, suspension, or discontinuation.
3. User Accounts
To access the Service you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity that occurs under your account, whether or not authorised by you;
- notifying us immediately at legal@deepbluelegal.com if you suspect any unauthorised use of your account.
We reserve the right to suspend or terminate accounts that we reasonably suspect have been compromised or are being used in violation of these Terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- use the Service in any way that violates applicable local, national, or international law or regulation;
- upload, transmit, or store any data that infringes the intellectual property, privacy, or other rights of any third party;
- attempt to gain unauthorised access to any part of the Service, its servers, or databases;
- use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent;
- use the Service to process data relating to individuals in a manner that violates applicable data protection law;
- reverse engineer, decompile, or disassemble any part of the Service;
- resell, sublicense, or otherwise commercialise access to the Service without our written permission.
5. AI-Generated Content — Not Legal Advice
Important Notice Regarding AI Features
The Service incorporates artificial intelligence tools, including large language models, to assist with legal research, document drafting, and practice management. AI-generated content produced by the Service does not constitute legal advice and must not be relied upon as such.
All AI outputs are provided for informational and drafting-assistance purposes only. You are solely responsible for reviewing, verifying, and exercising independent professional judgement over any AI-generated content before using it in the context of a client matter or legal proceeding. DeepBlueLegal accepts no liability for decisions made in reliance on AI-generated content without independent professional verification.
Nothing in the Service creates a solicitor-client relationship or any other legal advisory relationship between DeepBlueLegal and you or your clients.
6. Legal Professional Privilege and Confidentiality
We acknowledge that data entered into the Service relating to client matters may be subject to legal professional privilege and professional duties of confidentiality. We will:
- treat all matter data and client communications stored within the platform as strictly confidential;
- not access, use, or disclose matter content except as strictly necessary to provide the Service, or as required by law;
- not use client matter data to train AI models or for any purpose other than delivering the Service to you.
You remain solely responsible for ensuring that the use of cloud-based software is consistent with your applicable professional conduct rules and confidentiality obligations. You should obtain any necessary client consent before storing privileged or sensitive matter information on the platform.
7. Intellectual Property
Our intellectual property: All software, design, trademarks, and content comprising the Service (excluding your data) are owned by or licensed to DeepBlueLegal. Nothing in these Terms grants you any right, title, or interest in the Service or our intellectual property.
Your data: You retain full ownership of all data you input into the Service (“User Data”). You grant us a limited, non-exclusive licence to host, store, and process User Data solely to the extent necessary to provide the Service to you.
Feedback: If you submit suggestions or feedback about the Service, you grant us a perpetual, royalty-free licence to use and implement that feedback without obligation to you.
8. Fees and Payment
Access to certain features of the Service requires payment of subscription fees as set out on our pricing page. All fees are stated exclusive of VAT or applicable taxes, which will be added where required by law.
Fees are charged in advance on a monthly or annual basis. You authorise us to charge your payment method on each renewal date. If payment fails, we reserve the right to suspend access to the Service after reasonable notice.
Subscription fees are non-refundable except as required by applicable law or as expressly stated in our refund policy.
9. Limitation of Liability
To the fullest extent permitted by applicable law, DeepBlueLegal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising from your use of or inability to use the Service.
Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the greater of: (a) the total fees paid by you in the 12 months preceding the claim; or (b) £100.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
10. Indemnity
You agree to indemnify, defend, and hold harmless DeepBlueLegal and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of: (a) your use of the Service in breach of these Terms; (b) your violation of any applicable law or regulation; or (c) your infringement of the rights of any third party.
11. Termination
By you: You may cancel your account at any time through the account settings. Cancellation takes effect at the end of the current billing period.
By us: We may suspend or terminate your account immediately, without prior notice, if we reasonably believe you have materially breached these Terms, if your account remains unpaid for 30 days, or if required by law.
Upon termination, your right to access the Service ceases. We will retain your data for 30 days following termination to allow you to export it, after which it will be permanently deleted in accordance with our Privacy Policy.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating formal proceedings, you agree to contact us at legal@deepbluelegal.com and give us a reasonable opportunity to resolve the dispute informally.
13. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, legal requirements, or our business practices. We will provide at least 14 days’ notice of material changes by email or prominent in-app notice. Your continued use of the Service after that date constitutes acceptance of the revised Terms.
If you do not agree with any changes, you must stop using the Service and cancel your account before the new Terms take effect.
14. General
Entire agreement: These Terms and our Privacy Policy constitute the entire agreement between you and DeepBlueLegal with respect to the Service and supersede all prior agreements.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
